Terms of Service

Welcome to StateLayer! These terms govern your use of our platform and services. We've written them to be as clear and understandable as possible.

Important: Currently, StateLayer does not require user accounts. By using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If and when user accounts are implemented, the relevant account-related terms will apply.

1. General and Scope

Clarity: We have written these Terms to be as clear and understandable as possible. If you have any questions, please contact us at support@statelayer.com.

Unified Agreement: These Terms apply to all of StateLayer's services, creating a single, unified agreement.

Third-Party Services: Our Service may integrate with or rely on third-party services to provide certain features. For example, should we introduce paid features, payment processing will be handled by a dedicated third-party partner (such as Razorpay). When you use a feature that relies on a third-party service, you acknowledge that you may also be subject to that third party's terms and policies. StateLayer is not responsible for the practices of any third-party services.

2. User Accounts and Responsibilities (Future)

Eligibility: To use the Service, you must be at least 13 years of age and old enough to form a binding contract in your jurisdiction. If you are between the ages of 13 and the age of legal majority, you represent that you have your parent or legal guardian's permission to use the Service.

Account Information (Future): When accounts are implemented, users will be required to provide a valid email address to create an account. Users will be responsible for keeping this email up-to-date to receive important notifications.

Account Security (Future): Once accounts are implemented, the security of user accounts will be a shared responsibility. Users will be responsible for safeguarding account credentials, including choosing a strong password and keeping it confidential. Users must notify us immediately of any unauthorized use of their accounts.

3. Content and Intellectual Property (IP)

This is the most important section for our creators. We are committed to respecting your ownership and control over your work.

You Own Your Content: You retain full ownership of the intellectual property you create on StateLayer. This includes any code, 3D scenes, text, and assets you author or upload (collectively, "User Content").

Limited License to StateLayer: To operate and provide the Service, you grant StateLayer a limited, non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify, and distribute your User Content. This license is granted solely for the purposes of:

  • Operating, developing, and improving the Service.
  • Displaying your public User Content to other users.
  • Storing and backing up your private User Content on your behalf.

License Termination: This license ends when you delete your User Content from the Service. You acknowledge that it may take a reasonable period for deleted content to be fully removed from our backups, caches, and other systems.

Our Intellectual Property: The Service itself, including our logo, the name "StateLayer," our website design, and our proprietary code, are the exclusive property of StateLayer and its licensors. We grant you a limited, non-exclusive license to use our logo to credit your work with a "Made with StateLayer" notice.

Marketing & Promotion: We will never use your User Content in our marketing materials without your explicit, written permission.

AI Training: We will not use your private User Content to train artificial intelligence models. For public User Content, we will provide you with clear options to opt-in of any such use.

Copyright Infringement: We respect intellectual property rights. We will respond to notices of alleged copyright infringement that comply with the law. We have a clear DMCA policy and a simple process for reporting infringement.

4. Acceptable Use and Prohibited Conduct

You agree not to misuse the Service or help anyone else to do so. You agree not to engage in any of the following prohibited activities:

  • Uploading or sharing content that is unlawful, harmful, defamatory, harassing, or hateful.
  • Distributing malware, viruses, or any other malicious code.
  • Spamming other users or the Service.
  • Attempting to reverse-engineer, decompile, or otherwise access the source code of our proprietary software.
  • Impersonating another person or entity.
  • Scraping data from the Service without our prior written consent.
  • Taking any action that imposes an unreasonable load on our infrastructure or disrupts the integrity of the Service.
  • Using the Service for any resource-intensive background computation, such as cryptocurrency mining.

We reserve the right to remove content and suspend or terminate accounts that violate these rules. For minor infractions, we will aim to provide a warning. However, serious or repeated violations will result in immediate action to protect the community.

5. Payments, Subscriptions, and Cancellations

While the Service or certain features may be offered for free, we reserve the right to introduce paid subscription plans in the future. The following terms will apply if and when you purchase such a plan.

Pricing: All prices for paid plans will be clearly listed on our pricing page. There are no hidden fees.

Billing: Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) and will automatically renew unless you cancel. Billing is handled via Razorpay.

Cancellation: Once accounts are implemented, you may cancel your subscription at any time from your account settings. Your cancellation will be effective at the end of the current paid billing cycle, and you will not be charged again. There are no cancellation penalties.

Price Changes: We may change the price of our subscription plans in the future. Once accounts are implemented, we will provide all paying users with at least thirty (30) days' notice via email before any price changes take effect.

Refunds: We offer a full refund within seven (7) days of your initial subscription purchase if you are not satisfied. This refund policy applies only to your first purchase and not to subscription renewals. After this 7-day period, all fees paid are non-refundable, including for annual plans.

6. Termination (Future)

Termination by You (Future): Once accounts are implemented, users will be able to delete their accounts at any time from account settings. This action will be permanent and cannot be reversed.

Termination by Us (Future): Once accounts are implemented, we reserve the right to suspend or terminate your account for a material or repeated breach of these Terms.

Data After Termination (Future): Once accounts are implemented, upon account deletion, all associated User Content and personal data will be permanently deleted from live databases. This process may take up to 60 days to complete as data is cleared from our backup systems.

7. Disclaimers and Limitation of Liability

Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability: To the fullest extent permitted by law, StateLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Liability Cap: In no event shall StateLayer's aggregate liability for all claims relating to the Service exceed the total amount you paid us in the 12 months preceding the claim.

8. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by the laws of India, without regard to its conflict of law provisions.

Jurisdiction: Any legal suit, action, or proceeding arising out of these Terms shall be instituted in the competent courts located in the state of Kerala, India.

Mandatory Informal Resolution: We are committed to resolving disputes with our users amicably. If you have a dispute, you must first contact us at support@statelayer.com and make a good-faith effort to resolve the issue informally with us for a period of sixty (60) days before initiating any arbitration or legal proceeding.

Mandatory Arbitration and Class Action Waiver: If we cannot resolve a dispute informally, you agree to resolve any claims related to these Terms through final and binding arbitration.

Arbitration Opt-Out: You can opt-out of this agreement to arbitrate. If you do so, neither you nor StateLayer can require the other to participate in an arbitration proceeding. To opt-out, you must notify us in writing within thirty (30) days of the date that you first become subject to this arbitration provision by contacting us with the subject line "Arbitration Opt-Out."

9. Changes to These Terms

Modification: We reserve the right to modify these Terms at any time.

Notification: If we make a change that we believe materially affects your rights, we will provide you with at least thirty (30) days' notice by emailing the address associated with your account (once accounts are implemented) or by posting a prominent notice within the Service. We will define material changes as those affecting your rights to your content, pricing, or liability.

Acceptance: Your continued use of the Service after the notice period constitutes your acceptance of the revised Terms.

10. Privacy and Data

Your privacy is paramount. Please review our Privacy Policy to understand how we collect, use, and share information about you. For business users subject to data protection regulations like the GDPR, we offer a Data Processing Agreement (DPA). Please contact us at support@statelayer.com to obtain a copy.
